| | W nawiązaniu do raportu bieżącego nr 34/2012 z dnia 8 września 2012 roku w sprawie zawarcia pomiędzy ENEA S.A. (Spółka, Gwarant), ENEA Wytwarzanie Sp. z o.o. (dawniej: ENEA Wytwarzanie S.A.) (Spółka Zależna) oraz mBankiem S.A. (dawniej: BRE Bank S.A.) Umowy Programowej dotyczącej Programu Emisji Obligacji do kwoty 4.000 mln zł (Umowa Programowa, Program) Zarząd Spółki informuje, że w dniu 21 stycznia 2015 roku został zawarty aneks do Umowy Programowej, na mocy którego wartość Umowy Programowej obniżona została do kwoty 3.000 mln zł. Pozostałe warunki Umowy Programowej nie uległy zmianom. Wraz z aneksem do Umowy Programowej w dniu 21 stycznia 2015 roku pomiędzy Gwarantem, a Spółką Zależną zawarty został aneks do Umowy o gwarantowanie objęcia obligacji (Umowa Gwarancyjna). Na mocy aneksu wartość obligacji Spółki Zależnej , których objęcie przez Spółkę jest gwarantowane została dostosowana do aktualnej wartości Programu i obniżona została do kwoty 3.000 mln zł. Pozostałe warunki Umowy Gwarancyjnej nie
uległy zmianom. Celem obniżenia kwoty Programu jest obniżenie ponoszonych z tego tytułu kosztów oraz optymalizacja dostępnych źródeł finansowania. Jednocześnie Spółka informuje, iż na dzień publikacji niniejszego raportu bieżącego w ramach ww. Umowy Programowej, Spółka Zależna wyemitowała obligacje o łącznej kwocie 860 mln zł. | | | | | | | | | | | |

Legal basis: Article 56 item 5 of the Act on Offerings - Information update Content of report: In relation to the current report No. 34/2012 of 8 September 2012 regarding the conclusion by ENEA S.A. (Company, Guarantor), ENEA Wytwarzanie Sp. z o.o. (formerly: ENEA Wytwarzanie S.A.) (Subsidiary) and mBank S.A. (formerly: BRE BANK S.A.) of the Programme Agreement relating to the Bond Issue Programme up to the amount of PLN 4,000 mln (Programme Agreement, Programme), the Company's Board informs that on 21 January 2015 an annex was concluded to the Programme Agreement under which the value of the Programme Agreement is reduced to the amount of PLN 3,000 mln. The other terms of the Programme Agreement remain unchanged. Along with the annex to the Programme
Agreement, on 21 January 2015 the Guarantor and the Subsidiary concluded an annex to the Bond issue underwriting agreement (Underwriting Agreement). Pursuant to the annex the value of the Subsidiary's bonds, whose issue is underwritten by the Company, was adjusted to the current value of the Programme and reduced to the amount of PLN 3,000 mln. The other terms of the Underwriting Agreement remain unchanged. The goal of the reduction of the Programme's value is decreasing the related costs and optimisation of available financing sources. At the same time, the Company informs that as at the date of publication of this current report the Subsidiary issued bonds of a total value of PLN 860 mln within the Programme Agreement mentioned above. | | |
