| | Zarząd BNP Paribas Banku Polska SA (dalej: "Bank") informuje, że Zwyczajne Walne Zgromadzenie Banku, które odbyło się w dniu 4 kwietnia 2013 roku, powołało dwóch nowych członków Rady Nadzorczej: ? Pan Jean-Paul Sabet - zastępca dyrektora International Retail Banking (IRB) Grupy BNP Paribas; ? Pan Yvan De Cock - członek Komitetu Wykonawczego oraz Dyrektor Bankowości Korporacyjnej i Sektora Publicznego BNP Paribas Fortis SA/NV. Jednocześnie Pan Camille Fohl, który podjął nowe obowiązki w Grupie BNP Paribas SA, złożył rezygnację z pełnienia funkcji Przewodniczącego Rady Nadzorczej Banku oraz z członkostwa w Radzie Nadzorczej Banku z dniem odbycia się Zwyczajnego Walnego Zgromadzenia. Pan Fohl zasiadał w Radzie Nadzorczej Banku od 26 czerwca 2009 roku. Na posiedzeniu Rady Nadzorczej, które odbyło się po zamknięciu obrad Walnego Zgromadzenia w dniu 4 kwietnia 2013, Pan Jean-Paul Sabet objął funkcję Przewodniczącego Rady Nadzorczej Banku. Członek Rady Nadzorczej Jean-Paul-Sabet (ur. 1954) reprezentuje Grupę BNP Paribas, zastępca dyrektora International Retail Banking (IRB) Grupy BNP Paribas. Jest absolwentem jednej z czołowych francuskich szkół biznesu Hautes Etudes Commerciale (HEC) w Paryżu. Na początku kariery zawodowej pracował w Departamencie Przemysłowym Paribas oraz w Private Equity Business (PAI). W latach 2008-2010, Jean-Paul Sabet pracował jako dyrektor operacyjny (COO) dla Banca Nazionale del Lavoro (BNL), do którego dołączył w 2006. by przejąć nadzór nad procesem połączenia BNL z Grupą BNP Paribas. Poprzednio, w latach 2003-2006, Pan Sabet był członkiem Komitetu Wykonawczego Retail
Banking we Francji, gdzie odpowiadał za finanse i strategię. Przedtem przez sześć lat pełnił funkcję członka zarządu Klépierre ? firmy specjalizującej się w inwestycjach w nieruchomości komercyjne, a wcześniej przez dwa lata był członkiem zarządu głównego Société Centrale d?Investissements ? spółki holdingowej włączonej później do BNP Paribas. W styczniu 2013 roku Pan Sabet objął stanowisko zastępcy dyrektora International Retail Banking (IRB) ? obszaru obejmującego bankowość detaliczną Grupy BNP Paribas poza strefą euro. Jean-Paul Sabet nadzoruje między innymi bankowość detaliczną w Europie Środkowo-Wschodniej oraz Azji, w tym także w Turcji, za którą odpowiada od 2010 roku. Jako zastępca dyrektora IRB sprawuje kontrolę nad strategią i rozwojem obszaru IRB. Yvan De Cock (ur. 1954) reprezentuje Grupę BNP Paribas, Dyrektor Bankowości Korporacyjnej i Sektora Publicznego w Belgii BNP Paribas Fortis, członek Komitetu Wykonawczego BNP Paribas Fortis. Posiada tytuł magistra prawa Uniwersytetu w Leuven oraz dyplom z finansów i rachunkowości Instytutu Ekonomicznego EHSAL w Brukseli. Yvan De Cock rozpoczął karierę zawodową w 1978 roku jako prawnik w kancelarii prawnej Winderickx w Brukseli, a w 1982 roku został doradcą prawnym Belgijskiej Agencji Finansowania Eksportu Delcredere. Od roku 1984 związany z Generale Bankiem w Brukseli, gdzie zajmował różne stanowiska w Departamentach Finansowania Eksportu i Projektów, Finansowania Handlu oraz Bankowości Korporacyjnej i Inwestycyjnej. Po przejęciu Generale Banku przez Fortis w 1998 roku, został powołany na stanowisko jednego z Dyrektorów Generalnych Bankowości Korporacyjnej na świecie. W 2002 roku został Prezesem
Zarządu (CEO) Fortis Banku w Wielkiej Brytanii. W latach 2006-2011 pełnił również funkcję Prezesa Zarządu (CEO) Fortis Banku w Turcji. W marcu 2011 roku Yvan De Cock objął stanowisko członka Komitetu Wykonawczego BNP Paribas Fortis NV oraz Dyrektora Bankowości Korporacyjnej i Sektora Publicznego w Belgii BNP Paribas Fortis. Jest również Przewodniczącym Rady Nadzorczej BNP Paribas Fortis Factor NV, członkiem Rady Nadzorczej Fortis Private Equity Belgium NV, członkiem Rady Nadzorczej TEB Holding A.S. oraz TEB A.S. | | current report no. 8/2013 Changes in the composition of the Supervisory Board of BNP Paribas Bank Polska SA The Board of Executives of BNP Paribas Bank Polska SA (hereinafter, the Bank) informs you that the Annual General Meeting held on 4 April 2013 appointed two new members of the Bank’s Supervisory Board: • Jean-Paul Sabet – Deputy Head of International Retail Banking (IRB) of BNP Paribas Group; • Yvan De Cock – Member of the Executive Committee and Head of Corporate and Public Bank Belgium at BNP Paribas Fortis SA/NV. At the same time, Mr Camille Fohl who took new responsibilities in the BNP Paribas Group, submitted his resignation from the function of the Chairman of the Bank’s Supervisory Board and the membership in the Bank’s Supervisory Board, effective the date of the Bank’s Annual General Meeting. Mr Fohl was a member of the Bank’s Supervisory Board since 26 June 2009. At the Supervisory Board meeting held after closing the Annual General Meeting on 4 April 2013 Mr Jean-Paul Sabet was appointed

Andrzej Wojtyna – Member of the Board Jean-Paul Sabet (born in 1954) representative of BNP Paribas Group, Deputy Head of BNP Paribas Group's International Retail Banking (IRB). He is a graduate of leading French business school Hautes Etudes Commerciale (HEC) Paris. He spent the early part of his career in the Industrial Department of Paribas and at Private Equity Business (PAI). Between 2008 and 2010, Jean-Paul Sabet served as COO of Banca Nazionale del Lavoro (BNL), which he joined in 2006 to take charge of the process of integrating BNL into the Group following its acquisition by BNP Paribas. He had
previously been a member of the Executive Committee of the Group's French Retail Banking business from 2003 to 2006, in charge of Finance and Strategy. Prior to that post he was for six years a member of the Executive Board of commercial real estate investment specialist Klépierre, after working for two years in General Management at the Société Centrale d'Investissements, a financial holding company subsequently absorbed into BNP Paribas. Since January 2013, Jean-Paul Sabet has been the Deputy Head of International Retail Banking (IRB), the division which groups together BNP Paribas' retail banking activities outside the eurozone. In his new role, Jean-Paul Sabet oversees inter alia the Group's retail banking business in Central & Eastern Europe and Asia, in addition to Turkey, for which he has been responsible since 2010. Yvan De Cock (born in 1954) representative of BNP Paribas Group, Head of Corporate and Public Bank Belgium, Member of the Executive Committee BNP Paribas Fortis. He holds a Master in Law degree from the University of Leuven and a Master in Finance and Accountancy degree from the Institute of Economics EHSAL in Brussels. Yvan De Cock started his professional career in 1978 as a lawyer in the law offices Winderickx (Brussels) and was appointed legal counsel at the Belgian Export Credit Agency Delcredere in 1982. He joined Generale Bank, Brussels in 1984 where he assumed various positions in Export & Project Finance, Commodities Finance and Corporate & Investment Banking. After the acquisition of Generale Bank by Fortis in 1998, he was appointed Global
Co-Head Corporate Banking. In 2002 he became CEO of Fortis Bank UK. Between 2006 and 2011 he served as CEO of Fortis Bank Turkey. In March 2011 Yvan De Cock was appointed Member of the Executive Committee and Head of Corporate and Public Bank Belgium of BNP Paribas Fortis. He is also Chairman of the Board of Directors of BNP Paribas Fortis Factor NV, Member of the Board of Directors of Fortis Private Equity Belgium NV, TEB Holding A.S. and of TEB A.S.
