| | Zarząd Cinema City International N.V., z siedzibą w Amsterdamie, Holandia ("Spółka"), w nawiązaniu do raportu bieżącego nr 2/2014 z dnia 10 stycznia 2014 r., w którym ogłoszono, że Spółka i Cineworld Group plc (?Cineworld") zawarły umowę o połączeniu (combination agreement) w celu przeniesienia całego kapitału zakładowego Cinema City Holding B.V., podmiotu całkowicie zależnego od Spółki, który będzie właścicielem całości działalności kinowej Spółki, na rzecz Cineworld ("Połączenie"), niniejszym ogłasza, że w dniu dzisiejszym otrzymał informacje, iż Prezes Urzędu Ochrony Konkurencji i Konsumentów w Polsce wydał w dniu 11 stycznia 2014 r. decyzję o wyrażeniu zgody na Połączenie. Połączenie zostało zatwierdzone przez akcjonariuszy Cineworld w dniu 29 stycznia 2014 r. W dniu 24 lutego 2014 odbędzie się nadzwyczajne walne zgromadzenie Spółki, na którym zaproponowane zostanie podjęcie uchwały o zatwierdzeniu Połączenia. Z zastrzeżeniem spełnienia innych warunków realizacji Połączenia, oczekuje się, że
transakcja Połączenia zostanie zrealizowana w ciągu dwóch tygodni od jej zatwierdzenia przez akcjonariuszy Spółki. | | Proposed Combination of Cineworld Group plc with the Cinema Operations of Cinema City International N.V. - Regulatory ClearanceThe Management Board of Cinema City International N.V., with its registered office in Amsterdam, the Netherlands (the “Company”) hereby announces that, further to the current report No. 2/2014 dated 10 January 2014 in which it announced that the Company and Cineworld Group plc (“Cineworld”) had entered into a combination agreement to transfer the entire issued share capital of the Company's wholly-owned subsidiary, Cinema City Holding B.V., the entity which will hold the Company's cinema operations, to Cineworld (the “Combination”), the Company was informed today that the President of the Office of Competition and Consumer Protection in Poland issued on 11 February 2014 its decision approving the Combination.The Combination was approved by the Cineworld’s shareholders on 29 January 2014. An extraordinary general meeting of the Company will be held on 24 February 2014 at which a
resolution will be proposed to approve the Combination.
