| | Zarząd Pfleiderer Grajewo S.A. ("Spółka") informuje, że w dniu 28 marca 2012 r., spółka Pfleiderer AG z siedzibą w Neumarkt złożyła wniosek o ogłoszenie upadłości. Zgodnie z informacjami przekazanymi przez Pfleiderer AG do publicznej wiadomości, Zarząd Pfleiderer AG złożył wniosek o otwarcie postępowania upadłościowego i wystąpił o zgodę na działanie jako dłużnik zachowujący posiadanie (debtor in possession). Zarząd Pfleiderer AG, pod nadzorem kuratora sądowego, będzie nadal zarządzał spółką oraz prowadził restrukturyzację. Pfleiderer AG jest podmiotem dominującym w grupie Pfleiderer. Powyższa spółka ma charakter spółki holdingowej i nie prowadzi żadnej działalności operacyjnej. Pfleiderer AG zatrudnia 10 pracowników. Wniosek o ogłoszenie upadłości dotyczy wyłącznie spółki Pfleiderer AG i nie obejmuje spółek zależnych grupy Pfleiderer AG, które w normalnym trybie prowadzą bieżącą działalność. Spółki grupy Pfleiderer Grajewo S.A. nie udzielały poręczeń w stosunku do zobowiązań Pfleiderer AG. Bezpośrednim
akcjonariuszem Pfleiderer Grajewo S.A. jest spółka Pfleiderer Service GmbH z siedzibą w Neumarkt. Złożony przez Pfleiderer AG wniosek o ogłoszenie upadłości nie obejmuje spółki Pfleiderer Service GmbH. Spółka Pfleiderer AG nie jest bezpośrednim udziałowcem żadnego podmiotu grupy Pfleiderer Grajewo S.A. W ocenie Zarządu Pfleiderer Grajewo S.A. ewentualne ogłoszenie upadłości spółki Pfleiderer AG nie powinno mieć negatywnego wpływu na bieżącą działalność grupy Pfleiderer Grajewo S.A. Spółki grupy Pfleiderer Grajewo S.A. są w pełni niezależne pod względem operacyjnym, posiadają własne kanały zaopatrzenia w surowce niezbędne do prowadzenia działalności produkcyjnej oraz własne kanały sprzedaży towarów. Grupa Pfleiderer Grajewo S.A. posiada również odrębne od Pfleiderer AG umowy kredytowe zapewniające finansowanie bieżącej działalności. | | Subject: Situation of the holding company Pfleiderer AG RB 21/12 The Management Board of Pfleiderer Grajewo S.A. (the “Company”) hereby reports that on 28 March 2012 Pfleiderer AG in Neumarkt filed an application for insolvency. According to the information provided by Pfleiderer AG, the Management Board of Pfleiderer AG filed a request to open insolvency proceedings and has requested to act as debtor in possession. The Management Board, supervised by a judicial administrator, will continue managing and restructuring the company. Pfleiderer AG is the parent of the Pfleiderer Group. It is a holding company, which does not conduct any operating activities. Pfleiderer AG employs 10 staff. The bankruptcy petition was filed exclusively with respect to Pfleiderer AG and does not involve the Pfleiderer AG Group’s subsidiaries which continue their day-to-day operations unaffected. The Pfleiderer Grajewo Group companies have not issued any sureties for Pfleiderer AG’s liabilities. The Company’s direct shareholder
is Pfleiderer Service GmbH in Neumarkt, however, the bankruptcy petition does not cover Pfleiderer Service GmbH. Pfleiderer AG is not a direct shareholder in any of the Pfleiderer Grajewo Group companies. In the opinion of the Pfleiderer Grajewo Management Board, the potential declaration of Pfleiderer AG’s bankruptcy will not adversely affect the Pfleiderer Grajewo Group’s day-to-day operations. The Group companies are fully independent in terms of operations, have their own procurement systems and sales channels. The Pfleiderer Grajewo Group holds separate loan agreements securing funding of its day-to-day operations.
