| | Zarząd Globe Trade Centre S.A. ("Spółka"), niniejszym informuje, że Rada Nadzorcza Spółki powołała Pana Alaina Ickovics na stanowisko Prezesa Zarządu Globe Trade Centres S.A. z dniem 1 czerwca 2013 r., pod warunkiem złożenia rezygnację ze stanowiska Przewodniczącego Rady Nadzorczej Globe Trade Centre S.A. do dnia 31 maja 2013 r. Rada Nadzorcza powołała Pana Shouky Oren na stanowisko Przewodniczącego Rady Nadzorczej z dniem 1 czerwca 2013 r. Alain Ickovics ukończył Izraelski Instytut Technologii gdzie w 1982 r. uzyskał tytuł BSc in Industrial Engineering, a w 1984 r. uzyskał dyplom MBA z Graduate School of Business na Uniwersytecie Columbia. W latach 1984-1990 był wiceprezesem w Citibank N.A. w Nowym Jorku. Od 1990 r. do 2001 r. był dyrektorem zarządzającym Talladium International Investments N.V. i Development Sources International S.A. W roku 2002 został nominowany na członka rady nadzorczej TBIH Financial Services Group N.V. i piastował tę funkcję do roku 2011. W latach 2006-2012 był prezesem zarządu
Kardan N.V. oraz członkiem zarządu lub rady nadzorczej wielu spółek z grupy Kardan. Od 2009 roku pełni także funkcję członka rady dyrektorów spółki Esytyt Investments & Management Ltd. W latach 1994-2002 był prezesem Zarządu Globe Trade Centre S,A., a od 2002 był członkiem Rady Nadzorczej Spółki, zaś w maju 2013 r. został Przewodniczącym Rady Nadzorczej Spółki. Zgodnie ze złożonymi oświadczeniami Pan Alain Ickovics nie jest wpisany do Rejestru Dłużników Niewypłacalnych prowadzonego na podstawie ustawy o KRS oraz nie wykonuje innej działalności poza przedsiębiorstwem Spółki, która jest w stosunku do niej konkurencyjna, nie uczestniczy w spółce konkurencyjnej jako wspólnik spółki cywilnej, spółki osobowej lub jako członkowie organu spółki kapitałowej bądź w innej konkurencyjnej osobie prawnej jako członkowie jej organu. | | Subject: Transfer of Mr Alain Ickovics from the position of the Chairman of the Supervisory Board to the position of the President of the Management Board The Management Board of Globe Trade Centre S.A. (the “Company"), hereby informs that the Supervisory Board of the Company appointed Mr Alain Ickovics to the position of the President of the Management Board of Globe Trade Centres S.A. starting as of 1 June 2013, under condition of resignation by Mr Alain Ickovics from his position of the member of the Supervisory Board by 31 May 2013. The Supervisory Board also decided that Mr Shouky Oren will become a new Chairman of the Supervisory Board from 1 June 2013. Alain Ickovics graduated from the Israel Institute of Technology in 1982, where he obtained a BSc degree in industrial engineering, and from the Columbia University Graduate School of Business in 1984, where he obtained his MBA degree. In the years 1984-1990, he was a vice president at Citibank N.A. in New York. In the years 1990-2001, he was the
managing director of Talladium International Investments N.V. and Development Sources International S.A. In 2002 he was appointed a member of the supervisory board of TBIH Financial Services Group N.V. and he served in this position until 2011. In the years 2006-2012 he served as the chairman of the management board of Kardan, and also as a member of the management boards and the supervisory boards of a number of companies from the Kardan group. From 2009 he has served as a director of Esytyt Investments & Management Ltd. Between 1994 and 2002 he served as the president of the Management Board of Globe Trade Centre S.A. and in 2002 he was appointed as a member of the Supervisory Board of the Company and than become Chairman of the Supervisory Board in May 2012. Mr. Alain Ickovics is not entered in the Register of Insolvent Debtors maintained in compliance with the Act on the National Court Register and does not perform any activities outside of the Company’s business which would be competitive thereto, does
not participate in any competitive business either as partners in a civil partnership or any other partnership, and is not members of the authorities of any company or any other competitive legal entity.
