| | The Board of Directors of KSG Agro S.A. (the "Company") is pleased to inform that on 20th January of 2012 KSG Agricultural and Industrial Holding Limited, Cyprus subholding of the Company, has signed credit agreement with Deer Credit, INC. The agreement is guaranteed by the Export-Import Bank of the United States. According to the agreement its main terms are as follows: Credit Amount US$10,943,275 (as divided in Tranche A and B as indicated below): Tranche A US$9,445,141 Tranche B US$1,498,134 Final Disbursement Date April 10, 2012 (Tranche A) Final Disbursement Date October 10, 2012 (Tranche B) Commitment Fee / Principal & Interest Payment Dates Payable semiannually on each June 10 and December 10. Initial Principal Interest and Commitment Fee Payment Date June 10, 2012 (Tranche A). Initial Principal Interest and Commitment Fee Payment Date December 10, 2012 (Tranche B). Interest Rate LIBOR plus 1.5% Purchaser KSG Agricultural and Industrial Holding Limited The money from the loan will be invested into
additional machinery from John Deere Manufacturer. This technichs will be used to processing of the land in the newly acquired entities of the Company in Ukraine, getting higher yields and enlarging the crops output. The effective annual rate on the loan amounts to 5.3%. Legal grounds: Article 56.1 of Polish Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies, and Article 14 of the Luxembourg law of 11 January 2008 relating to the transparency requirements in relation to information about issuers whose securities are admitted to trading on a regulated market. | | | | | | | | | | |
