| | Resolutions of the ordinary meeting of Agrowill Group AB shareholders (company code 126264360, registered address: Smolensko st. 10, Vilnius) which took place on April 30, 2012: 1. Consolidated annual report of the Company for the year 2011 and report of the Auditor. 2. Approval of consolidated annual financial statements for the year 2011. Decision: - To approve consolidated (and stand alone) annual financial statements for the year 2011. 3. Approval of the profit (loss) appropriation of the Company for the year 2011. Decision: - To leave inappropriated the result of the Company for the year 2011 as indicated in the consolidated Financial Statements of the Company for 2011. 4. Election of the auditor of the Company . Decision: -to elect UAB "PricewaterhouseCoopers" as the Company's audit enterprise to perform the audit of the Group financial statements (inclding ? consolidated) for the 2012 and 2013 financial years. To authorize the Company's general manager or any member of the Board to conclude the
agreement for audit services, establishing the payment for services as agreed between the parties but in any case not more than 200.000 litas (VAT excluded) for the audit of the Company's financial statements (including ? consolidated) for the 2012 and 2013 financial years. Attached: Consolidated and stand alone financial statements and consolidated annual report of Agrowill Group AB for the years ended 31 December 2011.
