(the ?Seller") announces the aggregate sale of up to 61,289,503 ordinary shares (the ?Shares") equal to 6.7% of the ordinary share capital of Fondiaria- SAI S.p.A. (the ?Transaction"). The Shares represent the entire participation held by the Seller in Fondiaria-SAI S.p.A.. The Transaction is addressed to Italian and international institutional investors with final terms to be determined through an accelerated bookbuilding process. Bookbuilding will commence immediately, though the right to close the books at any time is reserved. In the context of the Transaction, UniCredit Bank AG, Milan is acting as Sole Bookrunner.
