| | According to the Notification of Franklin Templeton Investment Funds as of 23th Dec 2010, as a result of the acquisition of AGROTON PUBLIC LIMITED shares aggregate shareholding in the Company held by Franklin Templeton Investment Funds has exceeded the threshold of 10 % of the total votes in the Company.Before the transaction clients and funds managed by Templeton Asset Management Ltd. held 1,375,000 GDR shares, constituting 6,35 % of the share capital which represent 1,375,000 votes constituting 6,35 % of the total votes.On 26 October 2010 clients and funds managed by Templeton Asset Management Ltd. acquired 1,360,000 shares within the initial public offering.Upon the listing of the common stock on the Warsaw Stock Exchange on 8 November 2010, and the conversion of GDRs into shares, clients and funds managed by Templeton Asset Management Ltd. hold in aggregate 2,735,200 votes constituting 12,62 % of the total vote.Templeton Asset Management Ltd. serves as investment manager to funds and clients accounts
which invest in Polish stocks purely for portfolio investment purposes. Fund and client accounts are actively managed and their investment allocations can be expected to change.
