| | Fulfilling its liability determined in Paragraph (2), Article 57. of Act CXX, if 2001. on the Capital Markets stating if untrue data shall be disclosed to the public about the issuer, that may affect the value or yield of the securities issued, then the issuer shall publish the true data without delay, ENEFI Energy Efficiency Plc (Company) hereby informs its respected Investors as follows: Referring to the announcement of Patakhő Energiaszolgáltató Nonprofit Kft. disclosed (http://nol.hu/gazdasag/veszelyben-sarospatak-tavhoellatasa-1491635) the Company hereby informs its Investors that the Company is not a participant in the dispute between Patakhő Kft. and TITÁN Faktor Zrt. and it shall not intend to interfere with it in the future either. The Company hereby reminds that it had been forced to sell its business share in Patakhő Kft. in October 2012, i.e. two years ago to the Municipality of Sárospatak and it closed its project in Sárospatak by providing the significant discount obtained by the
Municipality. 100% of Patakhő Kft. has been owned by the municipality since then; it has been doing business independently, therefore its potential negative business activities, liquidation shall not be attributed to the Company in any way. The Company hereby informs its Investors that the Municipality of Sárospatak also tried to initiate a criminal procedure at the time of closing the project, however that was closed without any result. According to the viewpoint of the Company, the exclusive aim of the Municipality of Sárospatak had been that time to put pressure on the Company in a difficult financial situation. In contrast to the statements made in the announcement of Patakhő Kft. the truth is that E-Star ESCO Kft. assigned its claims amounting to HUF 50 million plus contributions thereof against Patakhő Kft. existing since October 2011 in the beginning of 2014 to TITÁN Faktor Zrt.; and according to our information, TITÁN Zrt. started to collect the claim and initiated the liquidation of Patakhő Kft. The
2011 annual report of Patakhő Kft. also contains the accurate amount of the claim, for which Patakhő Kft. established 100% provisions reserved according to its annual reports of 2012 and 2013. On the basis of the above mentioned facts, according to the viewpoint of the Company, the claim shall not be considered as one ?based on fictitious theory?. The Company hereby notes that although according to the statement of Patakhő Kft. the ?real nature of the claim is clearly questionable?, Patakhő Kft. has not even once debated the existence thereof towards E-Star ESCO Kft. in the past three years. In addition the Company hereby also notes that the Company shall not account for any further loss in the case of the potential liquidation of Patakhő Kft. and 0% payback. The Company hereby strongly calls the attention of both Patakhő Kft. and the Municipality of Sárospatak not to involve the Company in their dispute against TITÁN Faktor Zrt. and to refrain from injuring the reputation of the Company in the future. | | |
