| | Zarząd Globe Trade Centre S.A. ("Spółka") niniejszym informuje, że otrzymał w dniu 21 stycznia 2014 r. zawiadomienia z dnia 20 stycznia 2014 r. o zmianie stanu posiadania akcji Spółki o co najmniej 2% ogólnej liczby głosów w Spółce w wyniku nabycia w dniu 16 stycznia 2014 r. akcji Spółki na oficjalnym rynku giełdowym prowadzonym przez Giełdę Papierów Wartościowych w Warszawie S.A. ("Transakcja") ("Zawiadomienia") od: ? LSREF III GTC Investments B.V. ("LSREF III"); oraz ? Lone Star Real Estate Partners III L.P. ("Lone Star" oraz łącznie z LSREF III, "Zawiadamiający"). Zawiadamiający wskazali w Zawiadomieniach, że: ? w dniu 21 listopada 2013 r. LSREF III bezpośrednio, a Lone Star pośrednio posiadał 88.635.914 akcji zwykłych Spółki, reprezentujących 27,75% w kapitale zakładowym Spółki oraz uprawniających do wykonywania 27,75% głosów na walnym zgromadzeniu; ? bezpośrednio przed realizacją Transakcji LSREF III bezpośrednio, a Lone Star pośrednio posiadał 104.047.241 akcji zwykłych Spółki, stanowiących
29,6169% kapitału zakładowego Spółki oraz uprawniających do wykonywania 29.6169% głosów na walnym zgromadzeniu; ? w dniu 16 stycznia 2014 r. LSREF III bezpośrednio, a Lone Star pośrednio nabył 500.000 akcji zwykłych Spółki, zwiększając tym samym swój udział w ogólnej liczbie głosów Spółki do 29,7592%; oraz ? na dzień Zawiadomienia, LSREF III bezpośrednio, a Lone Star pośrednio posiadał 105.047.241 akcji zwykłych Spółki, reprezentujących 29,9016% w kapitale zakładowym Spółki oraz uprawniających do wykonywania 29,9016% głosów na walnym zgromadzeniu. Ponadto Zawiadamiający nie wyłączają możliwości dalszego zwiększania udziału (odpowiednio, bezpośredniego i pośredniego) w ogólnej liczbie głosów w Spółce w okresie 12 miesięcy od daty otrzymania Zawiadomień w celu umocnienia swojej pozycji jako inwestorów w Spółce. LSREF III poinformował, że żadne z jego spółek zależnych nie posiadają akcji Spółki, podczas gdy Lone Star wskazał, że następujące podmioty przez niego kontrolowane posiadają akcje Spółki: LSREF III
(bezpośrednio), Lux Investments IX S.a.r.l. (pośrednio), Lone Star Capital Investments S.a.r.l. (pośrednio), Lone Star Global Lendings III Limited (pośrednio), Lone Star Real Estate Fund III (U.S.), L.P. (pośrednio) oraz Lone Star Real Estate Fund III (Bermuda), L.P. (pośrednio). Zawiadamiający ponadto zawiadomili, że w odniesieniu do obu Zawiadamiających nie występują osoby, o których mowa w art. 87 ust. 1 pkt 3 lit. c ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (tj.: Dz. | | Subject: Notifications on changes in the shareholding of Globe Trade Centre S.A. by at least 2%, received from LSREF III GTC Investments B.V. and Lone Star Real Estate Partners III L.P. The management board of Globe Trade Centre S.A. (the “Company”) hereby announces that on 21 January 2014 it received notifications dated 20 January 2014 on a change in the shareholding of the Company by at least 2% of votes in the Company, as a result of an acquisition of shares in the Company on the official stock exchange market operated by the Warsaw Stock Exchange on 16 January 2014 (the “Transaction”) (the “Notifications”) from: • LSREF III GTC Investments B.V. (“LSREF III”); and • Lone Star Real Estate Partners III L.P. (“Lone Star” and together with LSREF III, the “Notifying Parties”). In the Notifications the Notifying Parties announced that: • as of 21 November 2013, LSREF III, directly, and Lone Star, indirectly, held 88,635,914 ordinary shares in the Company, which constituted 27.75% of its share capital and
entitled them to cast 27.75% of votes at the general meeting; • immediately prior to the Transaction, LSREF III, directly, and Lone Star, indirectly, held 104,047,241 ordinary shares in the Company, which constituted 29.6169% of its share capital and entitled them to cast 29.6169% of votes at the general meeting; • on 16 January 2014, LSREF III, directly, and Lone Star, indirectly, acquired 500,000 ordinary shares in the Company, increasing its share in the total number of votes in the Company to 29.7592%; and • as of the date of the Notifications, LSREF III, directly, and Lone Star, indirectly, held 105,047,241 ordinary shares in the Company, which constituted 29.9016% of its share capital and entitled them to cast 29.9016% of votes at the general meeting. Moreover, the Notifying Parties did not exclude the possibility of further increasing their (direct or indirect, respectively) share in the total number of votes in the Company within 12 months of the date of the Notifications, in order to strengthen
their position as investors in the Company. LSREF III announced that there are no subsidiaries thereof holding any shares in the Company, whereas Lone Star announced that the following entities controlled thereby hold shares in the Company: LSREF III (directly), Lux Investments IX S.a.r.l. (indirectly), Lone Star Capital Investments S.a.r.l. (indirectly), Lone Star Global Lendings III Limited (indirectly), Lone Star Real Estate Fund III (U.S.), L.P. (indirectly) and Lone Star Real Estate Fund III (Bermuda), L.P. (indirectly). The Notifying Parties further stated that, with respect to both Notifying Parties, there are no persons referred to in Article 87 section 1 point 3 letter c of the Polish Act on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies of 29 July 2005 (amended and restated: Journal of Laws of 2013, item 1382). | |
