| | Zarząd Spółki Kredyt Inkaso S.A. z siedzibą w Warszawie (Emitent) informuje, że w dniu dzisiejszym powziął informację o nabyciu przez jednostkę zależną Emitenta aktywów znacznej wartości. 19 grudnia 2014 r. Spółka zależna Emitenta o nazwie - Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. z siedzibą w Luksemburgu (Spółka Zależna), zgodnie z potwierdzeniem przydziału certyfikatów inwestycyjnych serii C z dnia 19 grudnia 2014 r., objęła w drodze przydziału certyfikaty inwestycyjne serii C w OMEGA Wierzytelności Niestandaryzowany Sekurytyzacyjny Fundusz Inwestycyjny Zamknięty (Fundusz). Spółka Zależna nabyła certyfikaty inwestycyjne serii C (Certyfikaty) w ilości 26 667 sztuk. Cena emisyjna 1 certyfikatu wyniosła 1.227,00 zł, przy czym certyfikaty zostały częściowo opłacone w wysokości po 658,87 zł na jeden certyfikat (certyfikaty nie w pełni opłacone). Zatem Spółka zależna Emitenta nabyła Certyfikaty o łącznej wartości emisyjnej 32.720.409,00 zł opłacone do łącznej kwoty 17.570.086,29 zł
(siedemnaście milionów pięćset siedemdziesiąt tysięcy osiemdziesiąt sześć złotych i dwadzieścia dziewięć groszy) za wszystkie nabyte Certyfikaty tj. po 658,87 zł za jeden certyfikat. Certyfikaty te stanowią 10 % wszystkich certyfikatów inwestycyjnych Funduszu i dają 10% głosów na Zgromadzeniu Inwestorów Funduszu. Na dzień objęcia certyfikatów inwestycyjnych serii C ich wartość ewidencyjna w księgach rachunkowych Spółki Zależnej Emitenta wynosi 17.570.086,29 zł (siedemnaście milionów pięćset siedemdziesiąt tysięcy osiemdziesiąt sześć złotych i dwadzieścia dziewięć groszy). Przedmiotowe nabycie ma charakter inwestycji długoterminowej. Transakcja nabycia certyfikatów została sfinansowana ze środków własnych Spółki Zależnej. Nie występują powiązania pomiędzy Emitentem, jego Spółką Zależną i osobami zarządzającymi lub nadzorującymi a Funduszem i osobami nim zarządzającymi. Emitent jest jedynym wspólnikiem Spółki Zależnej będącej nabywcą certyfikatów inwestycyjnych, posiadającym 100% akcji w kapitale zakładowym
Spółki zależnej, jak i 100% głosów w ogólnej licznie głosów na Walnym Zgromadzeniu Spółki Zależnej. Wobec powyższego, skutek tej transakcji Emitent nabył pośrednio 26 667 certyfikatów inwestycyjnych serii C Funduszu. Kryterium stanowiącym podstawę uznania nabytych aktywów za aktywa znacznej wartości jest wartość nabytych certyfikatów inwestycyjnych, która przekracza 10% wartości kapitałów własnych Emitenta. | | | | | | | | | | | |

Subject: take-up by the subsidiary of investment certificates constituting assets of significant value. Legal basis: current and periodic reports Contents of the report: The Management Board of Kredyt Inkaso S.A. with its registered office in Warsaw (Issuer) informs that today it took knowledge of the purchase by the subsidiary of the Issuer of the assets of significant value. On 19 December 2014 the Subsidiary of the Issuer by the name of - Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. with its registered office in Luxembourg (Subsidiary), according to the approval of the assignment of the C series investment certificates of 19 December 2014, took-up, by way of assignment the C series investment certificates in OMEGA Niestandaryzowany Sekurytyzacyjny Fundusz Inwestycyjny Zamknięty (Fund). The Subsidiary purchased the C series investment certificates (Certificates) in the amount of 26
667 units. The issue price of one certificate amounted to PLN 1.227,00 where the certificates were partially paid-up in the amount of PLN 658,87 per one certificate (certificates not fully paid up). Therefore, the Subsidiary of the Issuer purchased Certificates of the total issue value of PLN 32.720.409,00 paid up to the total amount of PLN 17.570.086,29 (seventeen million five hundred seventy thousand eighty six zlotys and twenty nine grosz) for all purchased Certificates, i.e. 658,87 per one certificate . The Certificates constitute 10% of all investment certificates of the Fund and result in 10% of votes at the Assembly of the Fund’s Investors. As of the day of the take-up of the C series investment certificates, their book value in the accounting books of the Subsidiary of the Issuer amounts to PLN 17.570.086,29 (seventeen million five hundred seventy thousand eighty six zlotys and twenty nine grosz). This purchase is of the long-term nature. The transaction of purchase of certificates has been financed
from the Subsidiary’s own funds. There are no relations between the Issuer and its managing or supervising individuals and the individuals managing them. The Issuer is the sole partner of the Subsidiary being the buyer of investment certificates, holding 100% shares in the equity of the Subsidiary as well as 100% votes in the general number of votes at the General Assembly of the Subsidiary. Therefore, as a result of this transaction, the Issuer purchased indirectly 26 667 C series investment certificates of the Fund. The criteria of deeming the purchased assets as the assets of significant value is the value of the purchased investment certificates which exceeds 10% of the Issuer’s equity value. | | |
