| | The Board of Directors of KSG Agro S.A. (?The Company") informs that audited financial statements for the year ended December 31st, 2011 has not been released as of today. On the 3rd of May the Board of Directors received a letter from an independent auditor of the Company (BDO Audit, Luxemburg) stating that they need more time to finalise their internal audit procedures. At the same time, BDO audit has confirmed that all necessary information and documents has been received from the Company in full and on timely basis. The Company expects that BDO Audit will inform the Company on anticipated date of report publication on May 15th, 2012. Legal grounds: Article 5 (2) of the Luxembourg law of 11 January 2008 relating to the transparency requirements in relation to information about issuers whose securities are admitted to trading on a regulated market and Article 56 of the Act of 29 July 2005 on public offering, conditions governing the introduction of financial instruments to organized trading systems and
