| | POLNORD SA ("Spółka", "Polnord") informuje, iż w dniu 28.01.2014 r. otrzymała od Templeton Asset Management Ltd. z siedzibą w Singapurze - podmiot pośrednio zależny od Franklin Resources, Inc. ? dwa zawiadomienia, odpowiednio w trybie art. 69 ust. 2 pkt 1a w związku z art. 87 ust.1 pkt 3 c) oraz w trybie art. 69 ust. 1 pkt 2 Ustawy z dnia 29 lipca 2005 roku o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych, o zmianie udziału klientów i funduszy zarządzanych przez Templeton Asset Management Ltd. w ogólnej liczbie głosów w Spółce o ok. 2% oraz o zmniejszeniu udziału posiadanego przez Templeton Emerging Markets Investment Trust z siedzibą w Wielkiej Brytanii i zejściu poniżej progu 10% w ogólnej liczbie głosów w Polnord. Powyższa zmiana została spowodowana zbyciem w dniu 21.01.2014 r. przez Templeton Emerging Markets Investment Trust 400.000 akcji Polnord. Przed zbyciem akcji Spółki, klienci i fundusze zarządzani przez
Templeton Asset Management Ltd. posiadali łącznie 3.293.477 akcji Spółki, z czego 3.293.477 akcji było w posiadaniu Templeton Emerging Markets Investment Trust, które stanowiły 10,09% w kapitale zakładowym i uprawniały do wykonywania 3.293.477 głosów, stanowiących 10,09% w ogólnej liczbie głosów w Spółce. Po dokonaniu transakcji zbycia akcji Spółki, klienci i fundusze zarządzani przez Templeton Asset Management Ltd. posiadają łącznie 2.893.477 akcji Spółki, z czego 2.893.477 akcji jest w posiadaniu Templeton Emerging Markets Investment Trust, co stanowi 8,87% w kapitale zakładowym i uprawnia do wykonywania 2.893.477 głosów, stanowiących 8,87% w ogólnej liczbie głosów w Spółce. | | POLNORD SA (“Polnord”, the “Company”) informs that on 28 January 2014 it received two notices from Templeton Asset Management Ltd. with registered office in Singapore – an indirect subsidiary of Franklin Resources, Inc. – respectively pursuant to Article 69 (2)(1a) in connection with Article 87 (1)(3c) and pursuant to Article 69 (1)(2) of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies of 29 July 2005, about changes in the share of customers and funds managed by Templeton Asset Management Ltd. in the total number of votes in the Company by approx 2% and on decreasing the share held by Templeton Emerging Markets Investment Trust with registered office in the United Kingdom and about going under the 10% limit in the total number of shares in Polnord. The above change was caused by the sale of 400,000 shares in Polnord by Templeton Emerging Markets Investment Trust which took place on 21 January 2014. Before the sale of
the Company shares, the customers and funds managed by Templeton Asset Management Ltd. held a total of 3,293,477 of the Company's shares, out of which 3,293,477 shares were held by Templeton Emerging Markets Investment Trust, which represented 10.09% of the share capital and were vested with 3,293,477 votes, accounting for 10.09% in the overall number of votes in the Company. Upon concluding the transaction of the Company shares sale, the customers and funds managed by Templeton Asset Management Ltd. hold a total of 2,893,477 of the Company's shares, out of which 2,893,477 shares are held by Templeton Emerging Markets Investment Trust, which represent 8.87% of the share capital and are vested with 2,893,477 votes, accounting for 8.87% in the overall number of votes in the Company. Templeton Asset Management Ltd. represents and manages investment funds, including Templeton Emerging Markets Investment Trust, which invest in the shares of Polish companies. | |
