| | AB INTER RAO Lietuva (hereinafter referred to as the Company) announces that on 3 June 2013 the Board of the Company adopted a decision to consent to preparation of the merger terms of UAB IRL Wind and Vydmantai wind park, UAB (the subsidiaries of the Company). UAB IRL Wind and Vydmantai wind park, UAB will be reorganised under Part 3 of Article 2.97 of the Civil Code of the Republic of Lithuania by merging UAB IRL Wind, which will cease its activities as a legal entity after the merger, into Vydmantai wind park, UAB which will continue its activities after the merger. Vydmantai wind park, UAB shall take over all short-term and long-term assets and other long-term and short-term financial and other undertakings, accounts receivable and accounts payable, rights and obligations which arise under the contracts concluded by UAB IRL Wind or have been created under other legal grounds except for the rights and obligations of UAB IRL Wind that the mandatory rules of law of the Republic of Lithuania forbid to
transfer or that cannot be transferred to any other person at the time of the merger.
