| | Powołanie członków Zarządu Banku BGŻ BNP Paribas S.A. Raport bieżący nr 40/2015 z dnia 30 kwietnia 2015 r. Zarząd BGŻ BNP Paribas S.A. (?Bank?) informuje, że 30 kwietnia 2015 r. Rada Nadzorcza powołała do Zarządu Banku następujące osoby z dniem 1 maja 2015 r.: 1. Pana Daniel Astraud ? na stanowisko Wiceprezesa Zarządu Pan Daniel Astraud nie prowadzi działalności konkurencyjnej w stosunku do Banku, nie jest wspólnikiem w spółce konkurencyjnej w stosunku do Banku, ani nie jest członkiem organu spółki kapitałowej konkurencyjnej wobec Banku oraz nie jest członkiem organu jakiejkolwiek innej osoby prawnej konkurencyjnej wobec Banku. Ponadto Pan Daniel Astraud nie został wpisany do Rejestru Dłużników Niewypłacalnych. 2. Pana Francois Benaroya ? na stanowisko Wiceprezesa Zarządu Pan Francois Benaroya nie prowadzi działalności konkurencyjnej w stosunku do Banku, nie jest wspólnikiem w spółce konkurencyjnej w stosunku do Banku, ani nie jest członkiem organu spółki kapitałowej konkurencyjnej wobec Banku oraz nie
jest członkiem organu jakiejkolwiek innej osoby prawnej konkurencyjnej wobec Banku. Ponadto Pan Francois Benaroya nie został wpisany do Rejestru Dłużników Niewypłacalnych. 3. Pana Blagoy Bochev ? na stanowisko Wiceprezesa Zarządu Pan Blagoy Bochev nie prowadzi działalności konkurencyjnej w stosunku do Banku, nie jest wspólnikiem w spółce konkurencyjnej w stosunku do Banku, ani nie jest członkiem organu spółki kapitałowej konkurencyjnej wobec Banku oraz nie jest członkiem organu jakiejkolwiek innej osoby prawnej konkurencyjnej wobec Banku. Ponadto Pan Blagoy Bochev nie został wpisany do Rejestru Dłużników Niewypłacalnych. 4. Pana Jana Bujaka ? na stanowisko Wiceprezesa Zarządu Pan Jan Bujak nie prowadzi działalności konkurencyjnej w stosunku do Banku, nie jest wspólnikiem w spółce konkurencyjnej w stosunku do Banku, ani nie jest członkiem organu spółki kapitałowej konkurencyjnej wobec Banku oraz nie jest członkiem organu jakiejkolwiek innej osoby prawnej konkurencyjnej wobec Banku. Ponadto Pan Jan Bujak nie
został wpisany do Rejestru Dłużników Niewypłacalnych. 5. Pana Jaromira Pelczarskiego - na stanowisko Wiceprezesa Zarządu Pan Jaromir Pelczarski nie prowadzi działalności konkurencyjnej w stosunku do Banku, nie jest wspólnikiem w spółce konkurencyjnej w stosunku do Banku, ani nie jest członkiem organu spółki kapitałowej konkurencyjnej wobec Banku oraz nie jest członkiem organu jakiejkolwiek innej osoby prawnej konkurencyjnej wobec Banku. Ponadto Pan Jaromir Pelczarski nie został wpisany do Rejestru Dłużników Niewypłacalnych. 6. Pana Jean-Philippe Stephane Rodes ? na stanowisko Wiceprezesa Zarządu Pan Jean-Philippe Stephane Rodes nie prowadzi działalności konkurencyjnej w stosunku do Banku, nie jest wspólnikiem w spółce konkurencyjnej w stosunku do Banku, ani nie jest członkiem organu spółki kapitałowej konkurencyjnej wobec Banku oraz nie jest członkiem organu jakiejkolwiek innej osoby prawnej konkurencyjnej wobec Banku. Ponadto Pan Jean-Philippe Stephane Rodes nie został wpisany do Rejestru Dłużników
Niewypłacalnych. 7. Pana Michel Thebault ? na stanowisko Wiceprezesa Zarządu Pan Michel Thebault nie prowadzi działalności konkurencyjnej w stosunku do Banku, nie jest wspólnikiem w spółce konkurencyjnej w stosunku do Banku, ani nie jest członkiem organu spółki kapitałowej konkurencyjnej wobec Banku oraz nie jest członkiem organu jakiejkolwiek innej osoby prawnej konkurencyjnej wobec Banku. Ponadto Pan Michel Thebault nie został wpisany do Rejestru Dłużników Niewypłacalnych. W załączeniu życiorysy nowo powołanych Wiceprezesów Zarządu. W związku z powyższym oraz z uwagi na fakt, iż z dniem połączenia weszły w życie rezygnacje złożone uprzednio przez Wiceprezesa Zarządu - Monikę Nachyła (raport bieżący nr 22/2015 z dnia 22 marca 2015 r.) oraz Wiceprezesa Zarządu Witolda Okarmę (raport bieżący nr 22/2015 z dnia 22 marca 2015 r.) od dnia 1 maja 2015 r. w skład Zarządu Banku wchodzą: 1. | | Appointment of members to the Management Board of BGŻ BNP Paribas S.A., Current report No. 40/2015 dated 30 April 2015 The Management Board of BGŻ BNP Paribas S.A. (the “Bank”) hereby informs, that the Supervisory Board of the Bank during meeting on 30 April 2015 appointed the following members of the Management Board with effect from the 1 May 2015. 1. Mr. Daniel Astraud – Vice President of the Management Board Mr. Daniel Astraud does not conduct activity competitive to the Bank, is not a partner in a partnership competitive to the Bank, he is not a member of a governing body of a company competitive to the Bank, and he is not a member of a governing body of any other legal person competitive to the Bank. Moreover, Mr. Daniel Astraud has not been entered to the Register of Insolvent Debtors. 2. Mr. Francois Benaroya – Vice President of the Management Board Mr. Francois Benaroya does not conduct activity competitive to the Bank, is not a partner in a partnership competitive to the Bank, he is not a
