| | The Board of Directors of Industrial Milk Company S.A. (the "Company") hereby provides information on the subscription for and sale of, the Company shares in a public offering of the Company shares to Retail and Institutional investors in Poland and a private placement to Institutional investors outside from United States (excluding the Republic of Poland) in reliance on the Regulation S under the U.S. Securities Act (the "Offering"): 1. In the Offering, the Company offered for subscription up to 10,782,609 newly issued shares (the ?New shares"), and additionally up to 1,617,391 existing shares in connection with Over-allotment option (the ?Over-Allotment-Shares"), held by the Issuer?s majority shareholder, Agrovalley Limited, company organized under the laws of Cyprus, in total 12,400,000 of shares (the ?Offer Shares"). 2. As a result of the Offering, 7,475,000 Company shares were allocated, including 6,500,000 New Shares and 975,000 Over-allotment Shares. The issue price was set at PLN 10,80. The gross
proceeds from the offering amounted to PLN 80,730,000 (app. USD 29,698,709). 3. The total costs associated with the issue amounted to PLN 4,983,700 (app. USD 1,785,622). | | | | | | | | | | |
