| | Zarząd Kredyt Inkaso S.A. z siedzibą w Warszawie (?Emitent?) informuje, iż w dniu 27 sierpnia 2014 roku powziął wiedzę, iż jednostka zależna Emitenta Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. z siedzibą w Luksemburgu otrzymała od Allianz Polska TFI S.A. (Allianz Polska TFI) potwierdzenie wykupu oraz umorzenia części certyfikatów inwestycyjnych (?Certyfikaty?) Kredyt Inkaso I Niestandaryzowanego Sekurytyzacyjnego Funduszu Inwestycyjnego Zamkniętego (KI I NSFIZ, Fundusz). Potwierdzenie wykupu oraz umorzenia dotyczy 51 certyfikatów inwestycyjnych serii B o wartości jednostkowej 863 963,24 zł. O nabyciu Certyfikatów przez Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. Emitent informował raportem bieżącym nr 91/2010 z dnia 21 grudnia 2010 roku. Wykupione oraz umorzone Certyfikaty były w 100% objęte przez spółkę zależną Emitenta Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. z siedzibą w Luksemburgu. Po dokonaniu transakcji Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. posiada
nadal 73 certyfikaty inwestycyjne KI I NSFIZ serii B oraz 182 certyfikaty inwestycyjne pozostałych serii tj. 2 certyfikaty inwestycyjne serii A, 105 certyfikatów inwestycyjnych serii L i 2 certyfikaty inwestycyjne serii M. W związku z wykupem oraz umorzeniem przedmiotowych Certyfikatów Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. otrzymało środki pieniężne w kwocie 44 062 125,24 zł równe iloczynowi liczby wykupionych oraz umorzonych Certyfikatów i jednostkowej wartości Certyfikatu. Wartość ewidencyjna umorzonych Certyfikatów w księgach rachunkowych Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. wynosiła 14 146 924,17 zł. Środki pieniężne uzyskane z umorzenia przedmiotowych Certyfikatów będą przeznaczone przez Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. m.in. na inwestycje w pakiety wierzytelności oraz realizację zobowiązań. Emitent posiada 100% akcji w jednostce zależnej Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. z siedzibą w Luksemburgu. Kredyt Inkaso Portfolio
Investments (Luxembourg) S.A. po wykupie, posiada obecnie 99,45% certyfikatów inwestycyjnych KI I NSFIZ oraz 99,45% głosów na Zgromadzeniu Inwestorów Funduszu, przy czym KI I NSFIZ jest podmiotem reprezentowanym przez Allianz Polska TFI. Emitent posiada 1 certyfikat inwestycyjny w KI I NS FIZ. Emitent jest jedynym wspólnikiem Kredyt Inkaso Portfolio Investments (Luxembourg) S.A., posiadającym 100% akcji w jej kapitale zakładowym jak i 100% głosów w ogólnej licznie głosów na Walnym Zgromadzeniu a ponadto Pan Paweł Szewczyk będący Prezesem Zarządu Emitenta pełni jednocześnie funkcję Dyrektora Klasy A Spółki Zależnej. Subject: Purchase and redemption of investment certificates of KREDYT INKASO I NSFIZ Legal Basis: Art. 56 item 1 pt. 1 of the Act on public bid – confidential information Contents of the report: Management Board of Kredyt Inkaso S.A. with its registered office in Warsaw („Issuer”) informs that on 27 August 2014 it took knowledge of the fact that the subsidiary of the Issuer Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. with its registered office in Luxembourg received from Allianz Polska TFI S.A. (Allianz Polska TFI) a confirmation of the purchase and redemption of the part of investment certificates (Certificates”) of Kredyt Inkaso I Niestandaryzowany Sekurytyzacyjny Fundusz Inwestycyjny Zamknięty (KI I NSFIZ, Fund). The confirmation of the purchase and redemption pertains to 51 B series investment certificates with the unit price of PLN 863 963,24. The fact of the purchase of the Certificates
by Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. was announced by the Issuer with the current report no. 91 of 21 December 2010. The purchased and redeemed Certificates were 100% covered by the subsidiary of the Issuer Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. with its registered office in Luxembourg. After performing the transaction, Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. still holds 73 B series KI I NSFIZ investment certificates and 182 of other series, i.e. 2 A series investment certificates and 105 L series investment certificates and 2 M series investment certificates. Due to the purchase and redemption of the said Certificates, Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. received funds in the amount of PLN 44 062 125,24, equal to the quotient of the number of the purchased and redeemed Certificates and the unit value of the Certificate. The book value of the redeemed Certificates in the accounting books of Kredyt Inkaso Portfolio Investments (Luxembourg)
S.A. amounted to PLN 14 146 924,17. The funds obtained from the redemption of the said Certificates shall be assigned by Kredyt Inkaso Portfolio Investments (Luxembourg) S.A., among others, for investments in portfolios of receivables and for fulfilment of obligations. The Issuer holds 100% of shares in the subsidiary Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. with its registered office in Luxembourg. Kredyt Inkaso Portfolio Investments (Luxembourg) S.A., after redemption, currently holds 99,45% investment certificates of KI I NSFIZ and 99,45% votes at the General Assembly of the Assembly of the Investors of the Fund, whereas KI I NSFIZ is the entity represented by Allianz Polska TFI. The Issuer holds 1 investment certificate in KI I NS FIZ. The Issuer is the sole partner of Kredyt Inkaso Portfolio Investments (Luxembourg) S.A., holding 100% shares in its share capital as well as 100% votes in the total number of votes at the General Assembly and furthermore, Mr. Paweł Szewczyk, being the
President of the Management Board of the Issuer holds at the same time the position of the A Class Director of the Subsidiary. At the same time, there are no relations between the Issuer and Allianz Polska TFI. | | |
