| | The Board of Directors of KSG Agro S.A. (the "Company") is pleased to inform, that, on 29th of October 2012, the Loan Agreement between KSG Agricultural and Industrial Holdings Limited, its Cyprus Subsidiary, and Landesbank Baden-Württemberg (Germany) was fully signed. Total amount of money, available to the Company, will be around EUR 11 530 000, with the effective rate of 5,575% annually for 7 years and the grace period is 18 months. The money will be used for financing the Supply agreement with Big Dutchman, via which the equipment and other components for the Company?s Pig Production Complex (the ?Complex"), located in s. Niva Trudovaya, Apostolovskiy district of Dniepropetrovsk region will be delivered. The Contract is covered by the guarantee of the EULER-HERMES Deutschland-AG. The Board of Directors of the Company is also pleased to inform that KSG Agricultural and Industrial Holdings Limited has signed an agreement with Breeders of Denmark A.S. According to this agreement 4 447 of breeding pigs
and boars from the genetic system of DanBred (Denmark) will be delivered to the Complex. Total price of the agreement is EUR 1 882 369 and this agreement will be financed under the guarantee of EKF (Denmark). Legal grounds: Article 56.1 of Polish Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies, and Article 14 of the Luxembourg law of 11 January 2008 relating to the transparency requirements in relation to information about issuers whose securities are admitted to trading on a regulated market. | | | | | | | | | | |
