| | Further to the press release of 7 July 2011, it is communicated that on today?s date Premafin Finanziaria S.p.A. - Holding di Partecipazioni (?Premafin") and UniCredit S.p.A. (?UniCredit") have signed the shareholders? agreement relating to Fondiaria-SAI S.p.A. (the ?Agreement") in enforcement of the agreement reached on 22 March 2011. The shareholders agreement has been signed by the parties following the sale by Premafin to UniCredit of 12,112,567 option rights relating to the share capital increase of Fondiaria-SAI and the subscription of such share capital increase by both Premafin and UniCredit for their respective quotas. Following the completion of Fondiaria-SAI share capital increase and assuming the entire subscription of the same, the quota held by Premafin, directly and indirectly through its subsidiary Finadin S.p.A. Finanziaria di Investimenti, in Fondiaria-SAI shall be equal to 35.7625% of the share capital represented by ordinary shares. The quota underwritten by UniCredit shall instead be
equal to 6.6% of the share capital represented by ordinary shares. The abstract of the Agreement is to be published, pursuant to current legislation, in the daily newspapers ?Il Sole 24Ore" and ?Milano Finanza"on 9 July 2011.
