| | PRESS RELEASE UniCredit: Agreement signed for the disposal of100% share capitalof Sofipa SGR S.p.A. to Cuneo e AssociatiS.p.A. and Paolo Zapparoli,shareholders of Synergo SGR S.p.A. UniCredit S.p.A. (?UniCredit") today announced thesigning ofan agreement for the disposal of 100% share capital of Sofipa SGR S.p.A. (?Sofipa") to Cuneo e AssociatiS.p.A. and Paolo Zapparoli (the ?Buyers"), shareholders of Synergo SGR S.p.A. (?Synergo"). Sofipa is a private equity company with approximately ?300 million of assets under management. The Buyershold the entire share capital of Synergo, a private equity company managing three closed-end funds with around ?1 billion of assets under management. The transaction envisages the disposal of Sofipa at a price equal to the shareholders? equity of Sofipa as of 30 June 2012. Under the agreement, inter alia, UniCredit will subscribe ?50 million in Sinergia II, the fund launched by Synergo in 2011, targeting to invest in medium-sized Italian enterprises, whose fundraising
phase has been almost completed. The closing is expected by the end of this year, subject to the fulfilment of certain conditions, including the Buyers obtaining necessary approvals from the relevant authorities. The Buyers intend to subsequently merge Sofipa into Synergo in order to consolidate its leading position on the private equity market for the medium-sized Italian companies and to enlarge its basis of primary international institutional investors as well assimultaneously strengthening its organisational structure with the addition of outstanding professionals currently working for Sofipa. UniCredit has beenadvised in the transaction by Clifford Chance. The Buyers have beenadvised by Legance and Studio Spadacini.
