| | Rejestracja przez sąd zmian w statucie Banku BGŻ S.A. Raport bieżący 32/2014 z dnia 17 września 2014 r. Zarząd Banku Gospodarki Żywnościowej S.A. z siedzibą w Warszawie (?Bank?) informuje, że 17 września 2014 r. powziął wiadomość o zarejestrowaniu w dniu 17 września 2014 r. przez Sąd Rejonowy dla m.st. Warszawy XII Wydział Gospodarczy Krajowego Rejestru Sądowego zmian Statutu Banku Gospodarki Żywnościowej S.A. W załączeniu Bank przekazuje do wiadomości publicznej jednolity tekst statutu Banku. Informacja o zmianach Statutu Banku zarejestrowanych na mocy ww. postanowienia Sądu Rejonowego: W § 29 Statutu Banku po ust. 4 dodaje się nowy ust. 5 o następującym brzmieniu: ?5. W przypadku złożenia do Zarządu Banku przez akcjonariusza, wpisanego do księgi akcyjnej wniosku o wydanie duplikatu dokumentu akcji, który został zniszczony lub utracony, nie stosuje się przepisów dekretu o umarzaniu utraconych dokumentów z dnia 10 grudnia 1946 r. (Dz. U. z 1947 r. Nr 5, poz. 20). Wniosek powinien wskazywać serie i numer
akcji, której dotyczy oraz oświadczenie akcjonariusza o utracie lub zniszczeniu dokumentu akcji. Zarząd Banku ogłosi o zniszczeniu lub utracie dokumentu wzywając wszystkich, aby, jeżeli są w jego posiadaniu, w wyznaczonym przez Zarząd Banku terminie, nie krótszym niż tydzień od dnia ogłoszenia, złożyli ten dokument w Banku oraz zgłosili swoje roszczenia do niego, pod rygorem unieważnienia dokumentu akcji przez Zarząd Banku i wydania jego duplikatu osobie wpisanej jako uprawniona do księgi akcyjnej. W przypadku złożenia w tym terminie dokumentu akcji przez osobę, która zgłasza roszczenia do tego dokumentu, Zarząd Banku zawiadomi wnioskodawcę o tym fakcie, zakończy postępowanie o wydanie duplikatu dokumentu akcji oraz zwróci dokument akcji składającemu. W przypadku złożenia dokumentu akcji przez osobę, która nie zgłasza roszczeń do tego dokumentu, Zarząd Banku wyda złożony dokument akcji osobie wpisanej jako uprawniona do księgi akcyjnej. Koszty ogłoszeń oraz wydania duplikatu obciążają wnioskodawcę. Te same
zasady stosuje się do odcinków zbiorowych akcji.? W załączeniu Zarząd przekazuje tekst jednolity Statutu. Podstawa prawna: § 38 ust. 1 pkt 2) lit. b) w zw. z § 100 ust. 4 Rozporządzenia Ministra Finansów z dnia 19 lutego 2009 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim. | | | | | | | | | | |

| | Registration by the court of changes in the Articles of Association in Bank BGŻ S.A. Current report 32/2014 dated September 17, 2014. The Management Board of Bank Gospodarki Żywnościowej S.A. (“Bank”) hereby informs that on September 17, 2014 it was notified on a decision dated September 17, 2014 by the District Court for the Capital City Warsaw, XII Commercial Division of the National Court Register on the registration of amendments to articles of association of Bank Gospodarki Żywnosciowej S.A. The Bank encloses the consolidated text of the articles of association. Information on amendments to the articles of association registered on the basis of the aforementioned Court decision: In § 29 of the Bank’s Statutes, following section 4 a new 5 shall be added which shall read as follows: “5. In the event that a request is submitted to the Management Board of the Bank, by a shareholder entered into share register, for a duplicate of a share certificate that has been destroyed or lost, the provisions of the
decree on the redemption of lost documents dated 10 December 1946 (J.L. 1947, No. 5, item 20) shall not apply. The request must include the series, number of the share it refers to and statement regarding lost or destruction of the share certificate. The Management Board of the Bank shall make an announcement on the destruction or loss of the share certificate, calling on those who are in possession of the share certificate to submit it to the Bank together with their claims thereto, within the period specified by the Management Board of the Bank, which shall in no case be shorter than one week, or else the share certificate will be cancelled by the Management Board of the Bank and the duplicate will be issued to the person entered in the share register as being entitled to it. If a person who claims to have rights to the share certificate submits the share certificate within the deadline, the Management Board of the Bank shall inform the requester of this fact, close the proceedings concerning the issuance
of a duplicate of the share certificate and return the share certificate to the person who submitted it. If the person who does not claim to have rights to the share certificate submits the share certificate, the Management Board of the Bank shall award it to the person entered in the share register as being entitled to it. The costs of making the announcements and issuing the duplicate shall be incurred by the requester. The same rules shall apply to multiple-share certificates.” The Management Board hereby encloses the consolidated text of the Articles of Association.
